International Strategic Hiring Choices LLC ("ISHC") and the company accepting this agreement ("Company")
This click-accept agreement covers access to ISHC Review Cloud. It is a mutual confidentiality agreement for evaluation and review work. It is not a statement of security certification.
1. Purpose
The parties may exchange information so Company can send review tasks (including audio, transcripts, model outputs, guidelines and rubrics) and ISHC can score, check and report on that work.
2. Confidential information
Confidential information means non-public information disclosed by either party, including task data, audio, transcripts, rubrics, gold answers, review results, pricing discussions, staff identities, and access credentials. It does not include information that is public through no fault of the receiver, already known without a duty of confidence, or independently developed without use of the other party's information.
3. Obligations
Each party will use confidential information only for this purpose, limit access to people who need it to perform the work, and protect it with reasonable care. ISHC staff access ISHC Review Cloud under individual accounts. Company will not share login details or API keys.
4. Review data
Company is responsible for having the rights needed to upload task data. ISHC will use that data to perform review, quality checks, support and the reports Company asks for inside ISHC Review Cloud. ISHC does not use Company task content to train a public model.
5. Term
Obligations last for three (3) years from disclosure, or longer if the information is clearly marked as a trade secret and remains a trade secret under applicable law. Either party may stop using the service. Ending access does not end the confidentiality obligations.
6. Return and deletion
On a written request, or through a deletion request in ISHC Review Cloud, ISHC will delete Company task data, files and annotations from the service within a reasonable operational window and record that deletion. Copies may remain in encrypted backups until those backups age out, and in audit records that show the deletion happened.
7. No licence, no public claim
This agreement does not transfer intellectual property. Neither party will use the other's name in public marketing without written permission. Accepting this NDA does not by itself create a paid statement of work.
8. Mutual
Both parties are disclosers and receivers. The same duties apply in both directions.
By checking the box and creating a workspace, the person accepting confirms they are authorised to bind Company, and that Company agrees to this NDA version 2026-11-01.
