ISHC MUTUAL NON-DISCLOSURE AGREEMENT

This covers access to ISHC Review Cloud. It is a mutual confidentiality agreement for evaluation and review work. It is not a security certification.
1. Purpose. The parties may exchange information so the company can send review tasks, including audio, transcripts, model outputs, guidelines and rubrics, and ISHC can score, check and report on that work.
2. Confidential information. This means non-public information disclosed by either party, including task data, audio, transcripts, rubrics, reference answers, review results and access credentials. It does not include information that is public through no fault of the receiver, already known without a duty of confidence, or independently developed.
3. Obligations. Each party will use confidential information only for this purpose, limit access to people who need it, and protect it with reasonable care. Accounts are individual. Do not share passwords or API keys.
4. Review data. The company is responsible for having the rights needed to upload task data. ISHC uses that data to perform review, quality checks, support and reports inside ISHC Review Cloud. ISHC does not use company task content to train a public model.
5. Term. Obligations last for three years from disclosure. Either party may stop using the service. Ending access does not end the confidentiality obligations.
6. Deletion. On request, ISHC deletes company task data, files and annotations from the service and records that deletion. Backup copies age out on the normal backup cycle. Audit records of the deletion itself are kept.
7. No public claim. Neither party will use the other's name in public marketing without written permission. Accepting this NDA does not by itself create a paid statement of work.
